1. About these terms

These terms govern your use of the TradeNest app and website (the "Platform"), operated by Braxton Works Ltd ("TradeNest", "we", "us", "our"), a company registered in England and Wales (company number 16014531, registered office 22 Mill Furlong, Rugby, Warwickshire, CV23 0GF, United Kingdom).

By creating an account or using the Platform you agree to these terms. If you do not agree, please do not use the Platform.

Please read section 3 carefully. It explains what TradeNest is responsible for and what it is not.

2. Definitions

• Homeowner means a homeowner, landlord, or property owner who uses the Platform to submit an enquiry for work.
• Contractor means a tradesperson or business who uses the Platform to receive and carry out work.
• Enquiry means a request for work submitted by a Homeowner.
• Job means work carried out by a Contractor arising from an Enquiry.
• Managed Project means a project that TradeNest agrees to coordinate directly under a separate written agreement (see section 8).
• Works means the actual repair, maintenance, renovation, or building work carried out by a Contractor.

3. What TradeNest is, and what it is not

TradeNest operates in two different ways, and your rights and our responsibilities differ between them.

(a) Standard marketplace Jobs. For standard Jobs, TradeNest is an intermediary. We introduce Homeowners to Contractors, help match Enquiries to suitable Contractors, and provide tools for messaging, quoting, and tracking a Job. The contract for the Works is between the Homeowner and the Contractor directly. TradeNest is not a party to that contract, does not carry out the Works, and is not responsible for the quality, safety, timing, or outcome of the Works. Contractors are independent businesses, not employees or agents of TradeNest.

We verify Contractors before they join and take reasonable care in matching and assigning, but we do not guarantee the work of any Contractor, and assigning a Contractor is not a warranty or endorsement of their Works.

(b) Managed Projects. Separately, TradeNest may agree to coordinate a project directly for a Homeowner. Where we do, this is set out in a separate written Managed Project agreement, and our responsibilities are defined in that agreement rather than in this section. Section 8 applies to Managed Projects.

If it is ever unclear whether your Job is a standard marketplace Job or a Managed Project, a Job is a standard marketplace Job unless you have signed a separate written Managed Project agreement with us.
